If Spirit Bear not being in the S-1 as an existing own is a mistake its a bit one because if they were just left off the percentages do not work out all (in terms of properly adding up to 100).
The pie in the sky dream is that the new investors required that spirit bear decrease/eliminate ownership as a prerequisite for them to invest. Spirit bear's involvement is certainly a negative because they have been so detrimental to the share price in the past and are a company that has SEC issues in the past.

In general this S-1 is more organized then ones in the past. Perhaps signaling they are going to be more professional in their reporting.

Another pie in the sky dream is that once they complete the final product (again...) then the existing orders are actually made and the company immediately turns around at least 1,290,000 in revenue (the ultimate truck 1 million order and the craftsmen 290,000 order).
