Long READ: Details Inside (Hold Tight).

If you read this please read the folow-up posts in future that I may post as a reply to this

I had my boys work through this, contacted few through LinkedIn and directly with some folks in Turkey and here is what I have gathered so far.

1)I have written here yesterday about the old FRFS and its CEO. Read it first if you like as it is all relevant

2)The RM is complete with Gifa. Gifa now owns this publicly traded stock which is what matters.

3)Since FRFS has filed 15-12G back in April 2017, they are not required to file 8K now.

4)From what I gathered the entire Gifa has been merged to FRFS NOT a part of it

5)Gifa has a huge business in Turkey and they want to become one of the top companies there.

6)For them getting listed on a US exchange is a matter of prestige and pride and that will help them become much bigger and much faster in Turkey and in ME.

7)They could have gone for an ADR but that is a mess, expensive and time-consuming.

8)So they used the RM route to get listed as a US company and the entire Gifa becomes a part of it

9)Their goal is to move to big boards ASAP.

10)The biggest killer of OTC stock pps (that is what matters to you all) is note conversion, dilution, and share sell.

11)They have absolutely no plan to sell shares as they don’t need money to pay their bills. This is the single most important thing going for an OTC stock.

12)The OS is 161M, 60M shares were not being claimed few months back. Don't know the current status of those 60M shares. Float is around 60M shares.

13)Since there is no plan to sell shares and dilute this will keep moving up in a staircase pattern. 2-step forward and 1-step backward.

14)They are more interested in getting the limelight in their home base as that will help them in business, and the stock pps.

15)They are patriotic like most people are and hence they will try to make it a big corporation in the US stock exchange. That gives them everything they need and want, money, power, prestige.

16)Many Turkish American nationals and just regular Turkish people are likely to buy the stock as a sign of respect and support for their home team. So they may go for a PR blitz like TV appearances in Turkey. That may boost the share price more thana PR or SEC filing as that will get more buyers.

17)My guess is they don’t have the expertise on US public market and they will hire people soon

18)If u read the links at the top, FRFS books are as clean as it can get. FRFS had no debt or notes. It is just a simple clean company.

19)To get all paper works in order will take at most 2 weeks and maybe $30-$50K in expense. I know this for a fact.

20)I don’t know yet when Gifa wants to do that. They are too excited and more interested in getting the PR in their home base.

21)But the paper works should follow soon with a name change.

22)I will write them personally to do so.

23)There is nothing scamy here. It is simple case of a foreign entity going public via an RM

24)Now let us talk about the –ves that some folks have mentioned and they are legitimate claims

25)First, the mention that it is a Turkish firm so it is a scam is non-sense. I work with an Asian Company privately held that would be worth at least $30 billion if it was a public entity. The owner is a billionaire and mentioned in Forbes List. So all foreign country has also successful businesses. Discounting it because it is Turkey-based is ignorance and discriminitaion to me.

26)There has been mention of him being accused of defrauding people with money as a finance company. That may very well be true. I don’t know and I don’t care to know. Wells Fargo created tens of millions of fake accounts and almost all financial companies in the USA small and large are defrauding people every day. They keep paying fines all the time. That doesn’t mean they are scams. I am not condoning such practices. All that I am saying is that doesn’t make it a scam. The business is real and exists and we can hope that they learn from their mistakes and not repeat it.

27)If this company was a scam (as in no business) they wouldn’t go through such pain for an RM and lower the AS to 500 million.

28)So I am pretty convinced at this stage that this is all good for the pps to go much much higher

29)It is a simple supply/demand situation first for the pps to go up. Lack of dilution it will keep moving north.

30)Then the question is how far can it go? I don’t have a clue.

31)We will have a better picture once they file all the numbers like revenue, profit/loss etc.

32)But by then the pps would be 20-50X from here is my guess.

33)Simply going by market cap at $0.25 it will get $40M market cap or $0.50 will give a $80M market cap. That should be a starter. Just a hunch.

34)We already know they have a newspaper business for a fact. How much is that worth? New Yorker with 70,000 circulation and huge loss was sold for $10M. Just some reference point.

35)They have a huge finance company and they have done $500 million deals. That is in other main news with pictures taken with delegates. So that can’t be fake.

36)Bottom line is so many things can’t be fake.

37)If you notice the trading pattern in L 2 the MM’s have no shares so they show 10K lots. It is only when retail sells they can sell it to another buyer. Very hard to even get 100K shares. You have to put the order way above the ask to get filled 100K shares. So if you sell it will be hard to get back in.

38)I see it going to few $$ with what I know. As we learn more we will have better idea.

39)Do whatever works for you. Take some money off the table if that helps or get your investment out. Whatever works for you. Don't count on my analysis which is simply my opinion and I have been wrong before.

That being said it may sound like I am pumping. I don’t pump or bash. I make extraordinary effort to find undervalued stocks. I share what I find with all honesty. But the stupid OTC scammer CEO's proves me wrong over and over again as they change the plan and start selling shares. So my evaluation becomes wrong. We can only infer from what we know. If a company suddenly decides to issue $100M notes at a penny then we are all screwed. All my analysis is worthless.

So my conclusion with everything I have gathered so far is this is not your usual OTC share selling scam. That is the key to me.

I don’t come to boards all the time. If I find something exciting then I post and then I may vanish. That doesn’t mean anything has changed.

If I see something different and all future posts, I will post as a reply to this msg/post. So if u read this one, then make sure you read any replies I may add to this msg in future.

Read my profile. I play pennies for fun and lose most of the time not because I pick bad ones but because I hold them forever as I have a mindset of a long-term investor. So I play them from time-to-time simply for fun. The biggest I ever lost was $150K in a Biotech stcok called XChem many years ago or like decades ago.
