why hasn't the old company (the sellers) filed for a name change yet?
Section 7.4. Certain Actions. Within one (1) day after the Closing Date, Sellers shall take such corporate and other actions necessary to change its corporate or company name, as the case may be, to a name that is not similar to, or confusing with, the current name of Sellers, including any necessary filings required by the general corporation or other law of the states in which Sellers is incorporated or otherwise qualified or registered to transact business. Sellers acknowledge that the name “Soupman” and all other Intellectual Property shall be and remain, after the Closing, the sole and exclusive property of Purchaser.
