Reverse Stock Split



The Company completed a reverse stock split of the Company’s common stock at a ratio of 20 for 1 of each share issued and outstanding on the effective date of June 7, 2017 (the “Reverse Stock Split”). As of July 17, 2017, there were approximately 7,626,731,400 sh ares of Common Stock outstanding. As a result of the Reverse Stock Split, there were approximately 381,336,570 shares of Common Stock outstanding (subject to adjustment due to the effect of rounding fractional shares into whole shares). The Reverse Stock Split did not have any effect on the stated par value of the common stock.



Increase of Authorized Shares



On March 30, 2017, the Company amended its Articles of Incorporation (the “ Amendment ”) to increase total number of authorized shares of our Common Stock from four billion (4,000,000,000) shares to forty billion (40,000,000,000) shares.
