Section 3.1. Consideration.
Subject to the terms and conditions set forth in this Agreement, and in reliance upon the
representations and warranties of the Parties set forth herein, at the Closing, the purchase price to
be paid by Purchaser to Sellers in exchange for the Purchased Assets (the “Purchase Price”)
shall be Two Million Fifty Thousand Dollars ($2,050,000) comprised of (i) cash in the amount of
Two Million Dollars ($2,000,000.00), and (ii) Fifty Thousand Dollars ($50,000) non-cash value
for excluding D&O Claims and Avoidance Actions from the Purchased Assets.
