I think the most likely possibility has to do with risk levels and the level of scrutiny after determining how the deal was structured. CB and her people made sure that, no matter what happened, she wasn't out any money, and that this was a no-risk deal financially.
Once the fact that CB was insulated from any sort of financial loss (she isn't an officer or director, and put none of her own money into it), the degree of scrutiny into Rich's and Stephen's plan slackened considerably. As it is now, even if the whole thing blows up and Rich gets charged with securities fraud, CB almost certainly skates.
