Bellissima is worth money. ICNB has nothing except ownership of 51% of Bellissima. Hence whatever Bellissima is worth, ICNB is worth half of that. And shareholders get the ratio of their shares to fully diluted shares issued. That's 1.5B (included debtor shares) X either 1.5 or 2.0, depending on how one reads the conversion rules for Pref Ds. Hence, shareholders split ICNB value by 1/2 to 2/3rds, depending how the conversion works.

So overall, shareholders get between 25% and 33% of Bellissima buyout offer, if sold.
