Absolutely crazy...

Here is my math, correct me if I am wrong.

The purchase price of SQTNZ was $530 million. SQTNZ company owners are getting 213,402,755 VNGE shares for the assets/business. There were/are currrently only 1,002,134 shares of VNGE outstanding and 100 million shares authorized so they upped the authorized to 510 million to cover the new shares for SQTNZ shareholders.

To give the current VNGE shareholders a 5% holding in the new company they are giving shareholders 10 shares for every share they own. This will put the new company share structure as such:

SQTNZ Management (95%) 213,402,755
VNGE Shareholders (5%) 12,025,608
Total Outstanding 225,428,363

If you own 1,000 shares at $2.75 per share right now your holdings are worth $2,750. If the name change and forward split would happen tomorrow for example, you will now have 11,000 shares at the same $2.75 and your holdings will be worth $30,250.

Basically for every share you buy at $2.75 say the ask now you are getting $27.50 back in a company Divy or shares.

Also they stated this at SQTI:

In the near term the Company intends to engage auditors to prepare audited financial statements and become fully reporting with the SEC, and subsequently apply to trade on the more senior OTCQX exchange or NASDAQ.


These shares are going to be hard to come by! I bet the 1 million OS is held tightly by management here and the added 11 million shares will give the stock some much needed trading volume and liquidity. This company is doing a RM or IPO at basically $2.50 a share and the owners of the commons now are getting an extra divy. Nice deal for everyone involved.
