On May 31, 2016, the Company entered into a Reorganization and
Stock Purchase Agreement (“RSPA”) with Solar Quartz Technologies Limited (“SQT Limited”), incorporated in New Zealand. Upon closing, the assets of SQT Limited (located in Australia) were then owned by Solar Quartz Technologies, Inc. (the “SQT assets”). The SQT Limited assets were originally acquired from SQT Pte Ltd, a foreign corporation that had acquired the assets in 2011.
SQT Limited (NZ) acquired the SQT Assets in a share swap approved by the shareholders of SQT Limited and by SQT Pte Ltd’s Board of Directors Resolution on June 20, 2016.
As part of the Closing, the Company issued 201,182,000 shares of common stock for and on behalf of SQT Limited that are equivalent to 95% of the Company’s total shares (see Note 4). The Company does not anticipate any further reorganization of its common stock. In the near term the Company intends to engage auditors to prepare audited financial statements and become fully reporting with the SEC, and subsequently apply to trade on the more senior OTCQX exchange or NASDAQ.
