POW! is incorporated in Delaware and are bound by their corporation laws. With voting on a merger/buyout, POW! is supposed to send notice to shareholders at least 20 days before a vote is taken (Delaware law, not SEC). With the voting info, information on dissenter rights along with material disclosure for shareholders to decide whether to go for dissenter rights should be included.

If this were a better company, it would require a majority vote from the minority shareholders to proceed with the buyout. But, I anticipate that you are correct, the majority shareholders will force the buyout.

For people not exercising dissenter rights, it's over when they get their payout. For people that exercise dissenter rights, it's over when they get paid.

I don't know how long iHub keeps stock specific message boards open when the company is no longer public.

There seemed to be very little buy-in in the last attempt to coordinate a lawsuit, which was then messed up by bringing in Stan Lee Media rights. I'm not going to even try to coordinate a class action lawsuit (too much apathy). If someone else wants to try, I'll join. Lacking that, I'll decide what to do when the notification comes out, the disclosure or lack of disclosure would be the key factor.

If I don't see any key information missing, I'm going for dissenter rights. I think POW!'s assets are worth a lot more than Camsing is proposing paying for. Going for dissenter rights is risky, the Delaware court may value POW! less than what Camsing is proposing paying and it could take months. Among other information I'm looking up, is valuation of other comic book IP/companies that were bought. Not much public info though. I'm looking up information on Valiant Comics/Entertainment (Voyager Communications), now.

I do think POW! will exclude key information and a lawsuit to force additional disclosure may be necessary. If that occurs a class action lawsuit might be more feasible.
