Exactly look at the key words.

They entered into an agreement but never executed otherwise there would have to be an 8K stating the terms were full filed which never were because the company never had $5M.

2nd paragraph: The initial accounting for the business combination of ChanBond with the Company is NOT COMPLETE as the Company is working on obtaining valuation reports to support amounts.
