Yes and 99.9% of the shares held by "Joe Retail" are held in "Street Name" through some broker. Be it Etrade, Scottrade, Or any of the other brokers. So those shares that were NON-VOTED were caused by Joe Retails who didn't bother to vote. Their Brokers are allowed to vote on such things as picking an Accounting firm but no on such items as shareholders rights new added shares etc.

Probably many of these Joe Retails don't have "Electronic Proxy" selected with their brokerage accounts. And or whenever they get an email saying Yo Stupid here is your Proxy to go vote your shares they just dumped it into the bit bucket rather than executing the proxy and voting their shares.

This time around it was only about 10% of the total outstanding shares that didn't bother to vote. I guess Kingswhatever failed to call the right people.

They never called me because within an hour of receiving the proxy request and control numbers I had already been there and voted yes on all issues.
