Read the 8k. It doesn't say anything about the former owner doing the reverse split. It states the former owner will file the 10k in proper time.

It states the Board of Directors will decide on the ratio of the reverse split to be effected immediately following the closing. How could Brian Kistler institute a reverse split if he is not on the Board of Directors and is not affiliated with the company after the closing.

The wording is quite clear as to there will be a reverse split after closing. This information will be released any day now since closing is finished.
