4.17 PFS Data. The Company covenants that the Company, any Subsidiary, or any employee, agent or Affiliate of the Company or any Subsidiary shall not release or publicly disclose any PFS data of the Company or any Subsidiary before the sixty-first (61st) day anniversary of the Closing Date.



4.13 Subsequent Equity Sales.



(a) From the date hereof until 60 days after the Closing Date, neither the Company nor any Subsidiary shall issue, enter into any agreement to issue or announce the issuance or proposed issuance of any shares of Common Stock or Common Stock Equivalents, other than Exempt Issuances; provided, however, that notwithstanding the foregoing, if the VWAP of the Common Stock is reported on any Trading Market above forty-five cents ($0.45) for at least three (3) consecutive Trading Days, then neither the Company nor any Subsidiary shall thereafter be bound by the obligations set forth in this Section 4.13.
