You are quite correct - they had to pay that $300K to vendors that had liens against the company's assets. I wonder if Dahl realized that, without any of the employees from Wellness, he had a snowball's chance of getting it up and running. I think he was imagining that he would be able to get it to market easily since the product development was very far along.
