With $10 million or $40 million on the way, why does the issuer need to concern itself to easing of Regulation D, especially when Regulation D was recently amended. Is the issuer intending to raise capital via an offering?

The issuer needs to concern itself with the following:

...or it will find itself "symbol not found" via a Section 12(j) revocation.
