It may be about being public or private subsidiary. In the traditional reverse merger the privco becomes public after the shares were issued, that never happened here. UMS remained the sub when they should have been the parent and pubco, under standard triangular reverse merger scenarios.

Operating as a private subsidiary under iTalk mobility.
