you still dont understand the difference do you?

"Shareholder of record" is the legal entity that the company has to send official documents to (such as for votes on corporate decisions) , shareholders are you and me who by through our brokers. The broker has our proxy and may or may not forward documents to you for your input.

it has nothing to do with holding for less than a day.

I see that BIEL confused things by referring to HOlders of record not Shareholders!

doesnt really matter anyway as SEC proceedings cannot go anywhere until they get new commissioners appointed without any more resigning!
