I don't understand the worry

Can someone actually point out what is the issue now? We know the Reverse Merger is happening, and the split will happen January 31st.

SPCL is an empty shell stock and Pixel Mags, Based in Los Angelas, a Delaware company, is merging into the empty shell.

To my understanding Pixel Mags makes around 30-40 Mil in Revs.

Where is the problem why isn't this much higher?
