"realize just how sick of the wait we are."
So you are sick of waiting but you want the company to wait until a big deal is announced to issue the preliminary 14A? Don't you want information from the company as soon as possible so you can properly evaluate your investment and then vote your shares based on the facts in the proposals?
"why not wait?"
The company does not have the luxury of time, they need to be doing things now to convert this company from a struggling startup company to a revenue generating production company, which can attract bigger investors. Part of what they need to be doing now, is preparing their shareholders for the proposed changes that will be voted on at the shareholder meeting in February. When a big deal is announced, they will have less time to work on the shareholder meetings and company structure, they will have to be more focused on meeting their production commitments. Big companies like Kisco and Nitto are not going to want to hear that the QMC is struggling to meet production timelines because they are spending too much time dealing with internal corporate issues.
So how high does the share price have to go before you stop worrying and would accept the proposed changes without further evaluation?
