Biel is demonstrating to the SEC that even during the investigation they can sell shares via dilution with full investor knowledge. The reason for this is because investors know that the company is way under valued. It also has a patentable and disruptive technology for pain relief and healing called the Actipatch.

You can call them dilution, toxic finance or whatever. It is pretty much irrelevant. We all know that if they need money they will print shares to get it. This is pretty much common knowledge.
