Paul, take a look at it again, "if the share price is below $0.013" they can pay any or all of it off, plus accrued interest(10%) and a payoff fee of 15%.

So it looks like Mario would want to keep the share price down, even though he'd never admit that and either go into production or get a big check from China...
And then go WHAM, to Cornell.
