You are mistaken about the timing and the circumstances. Start by reviewing MW's deposition in detail. Cry Baby's intent was clearly to defraud. He not only didn't make the first payment, he never offered any explanation as to why and told Mr. Scivoletto in the spring of 2013 that he had back stabbed Steve Adelstein by issuing preferred shares and destroying the security for the loan.

MW, as narcissists usually do, thought he was the smartest guy in the room. But, alas, he wasn't. Maybe he'll be the smartest guy in his prison cell?

BTW, there is no law that says a lender cannot call the loan when the first payment is missed. Most don't. But, most have not been told the debtor is out to defraud them and has already taken steps to do so. ANY lender would have called the loan immediately under such circumstances.
