Item 9.01 Financial Statements and Exhibits.
List below the fi nancial statements, pro forma fi nancial information and exhibits, if any, fi led as a part of this report.
(a) Financial statements of businesses acquired.
(1) For any business acquisition required to be described in answer to Item 2.01 of this form, fi nancial statements of the business
acquired shall be fi led for the periods specifi ed in Rule 3-05(b) of Regulation S-X (17 CFR 210.3-05(b)) or Rule 8-04(b) of Regulation
S-X (17 CFR 210.8-04(b)) for smaller reporting companies.
(2) The fi nancial statements shall be prepared pursuant to Regulation S-X except that supporting schedules need not be fi led. A
manually signed accountant’s report should be provided pursuant to Rule 2-02 of Regulation S-X (17 CFR 210.2-02).
(3) With regard to the acquisition of one or more real estate properties, the fi nancial statements and any additional information
specifi ed by Rule 3-14 of Regulation S-X (17 CFR 210.3-14) or Rule 8-06 of Regulation S-X (17 CFR 210.8-06) for smaller reporting
companies.
(4) Financial statements required by this item may be fi led with the initial report, or by amendment not later than 71 calendar days 8
after the date that the initial report on Form 8-K must be fi led. If the fi nancial statements are not included in the initial report, the registrant
should so indicate in the Form 8-K report and state when the required fi nancial statements will be fi led. The registrant may, at its option,
include unaudited fi nancial statements in the initial report on Form 8-K.
