The S1 carries more weight with the SEC than a 10K. It is more comprehensive and has more detail regarding the company's securities transactions.

ESCU is filing an S1 because of it's aim to register shares for a private offering.

The added benefit of the S1 filing to ESCU's investors is it gives us a complete picture of all of ESCU's previous stock transactions. And guess what? Everything's in good order.
