The Court having considered the parties' Stipulation of Dismissal, being advised thatPlaintiff StrikeForce Technologies, Inc. ("StrikeForce") and Defendant Microsoft Corporation ("Microsoft") have reached an amicable settlement of the disputes raised in this action, and further
being advised that the parties stipulate to a dismissal of all claims in this case, concludes that such dismissal is appropriate.

IT IS HEREBY ORDERED that

I. all of StrikeForce's claims in connection with this suit against Microsoft are DISMISSED
WITH PREJUDICE;
2. any of Microsoft's defenses in connection with this suit against StrikeForce are dismissed
without prejudice; and
3. StrikeForce and Microsoft shall each bear its own costs, expenses and attorneys' fees.
