GL-You're forgetting all the other shares given on the existing notes that are in default. More than 1B in the 10K just for the existing notes in a 3 month period.

NOTE 9 - SUBSEQUENT EVENTS

Subsequent to July 31, 2015,

? the Company issued 1,261,232,871 shares of common stock to holders of convertible notes upon the conversion of $271,104 in principal, $13,425 in accrued interest and $2,040 in fees.

? the Company issued 500,000,000 shares of common stock to a warrant holder upon the cashless conversion of 221,159 warrants.

? the Company issued 100,000,000 shares of common stock to settle a lawsuit with a vendor. The fair market value of the shares on the date of issuance was $220,000.

In September 2015, the Company issued 10,000,000 shares to consultants for services rendered. The fair market value of the shares on the date of issuance was $25,000.

In September 2015, the Company issued 6,000,000 shares to professional athletes in exchange for product endorsements. The fair market value of the shares on the date of issuance was $9,500.

Of course the number of shares it takes to make those payments will decrease for a time, the competition between noteholders trying to dump their shares so thy can convert again and the daily trade volume will take a real hit.

Volume, discount and how many shares can be "put" to GHS are all tied to the LOC.

Think about it, when they completed the 1 for 10 it took the OS from 2.12B+ down to 212M. That was in Feb. wasn't it?

10 months later the OS is diluted by 4.1B to 4.3B+.
They'll do it again, it's called "wash, rinse, repeat."


As of the record date of October 30, 2015 (the “Record Date”), the Company's authorized capitalization consisted of 5,000,000,000 shares of Common Stock, of which 4,300,023,776 shares were issued and outstanding.



Of course they reported an OS of 4.6B in Dec. There will never be a shortage of shares available. The OS will explode again.
