The Baker Brothers wanted to accumulate a huge number of shares and decided to buy convertible shares in a private placement for several reasons:
1. Buying the amount of shares they had in mind on the open market would have elevated the PPS at least to $2.60/share or more
2. They opted to spend their money in a way that would help Amarin achieve its goal of a successful R-IT, thus protecting the large investment that they have already made.
3. They are convinced that R-IT results will establish Vascepa as a blockbuster drug and that the present PPS does not represent the true value of Amarin
4. With the NCE and 1A cases soon maturing, now was the time to act.
