I'm missing how this applies to the CRGP illegal dividend.

Can you explain? I'm ~OUTT of posts until midnight EDT, so take your time explaining how this reorg fee is consideration to TDA for their 'promise' that the client could keep the divy in exchange for the reorg fee. That's the part I don't get.
