They didn't have anymore shares to issue.. If you read the last Q this business is being built by issuing shares as payment for its business transactions..

If you remember, we received the R/S news just as the share structure was maxed out.. If Minerco is going to continue operations, they had to R/S so that there are new shares which the company can access and use in place of capital..
