I also wonder why they would Incorporate and then almost immediately announce a failure to get a M/A Deal. Why do this? Unless there is more here than meets the eye?

Something does not add up and I believe an MA announcement will soon happen.

Here's the thing, why would they be listed on NASDAQ 10/5/15 and then announce a failed bid on 10/13/15 within 1 week. Now, they probably had to file the failed MA attempt for SEC Filing and protocol. But this does not necessarily mean they do not have a MA already and just waiting to announce it.

Think about it, it seems odd to jump to NASDAQ and then file a failed MA a week later.
