My guess is they will "rescind" the deal if Lou answers the complaint and can show Alonzo lacked the authority to transfer assets. The shares are restricted so they can be cancelled.

That's likely why they have stalled with negotiations with the lenders as well. They are "playing Besado" as long as they can.
