I was in the same dilemma as yourself. I believe if you don't Vote, the Brokerage Firms will VOTE YES for all Proposals which are classified as ROUTINE. This is the one reason, I stated it is technically an automatic YES VOTE.

I think Management is counting on most shareholders not voting, which has been the way in the past years.

Someone else can chime in if they want to clarify.
