Why not sell shares on the open market to ensure that you do have enough to purchase the note ?? It removes the profit from the noteholder, it costs the company nothing and it lessens the dilution amount that a note would cause. It would also cause buying pressure as the sale would be limited.

In shareholders interest of course.If there are no other options this is better than converting.
