The rollout of the Wi-Fi TV website is in multiple stages and these are directly tied to the introduction of a business model with two specific goals. These goals also serve as the Company’s new Mission Statement:

1) Wi-Fi TV Inc. intends to be one of the top ten web sites in the world focused on the delivery of TV content that includes proprietary programming, as measured by the number of registered users and unique page views
2) Wi-Fi TV Inc. intends to be one of the top ten web sites in the world for the number of “first to market” implementations of video content and commerce technology applications as measured by specific events on a timeline of introduction.

PART ONE OF ROLLOUT

The first stage of the rollout, called I- Wi-Fi TV Beta Launch, was completed in February 2006. It consisted of the following items, and these are all currently in operation:

Ia) One-Page, One-Click ™ access to over 200 live TV channels and live video sources from over 50 countries viewable on the proprietary Wi-Fi TV Virtual TV Screen ™ .

Wi-Fi TV users simply click on to the channel description and the live video feed begins playing on the Wi-Fi TV Virtual TV Screen. The screen has been optimized to play Windows Media, Real Player, QuickTime and Flash compatible streams, and leaves room adjacent to the player for other Wi-Fi TV features. There is a full-screen button which allows users to increase the size of the Wi-Fi TV screen.

Ib) Country and Category Wi-Fi TV Pages with themed News and Advertising

Wi-Fi TV users can select Country and Category pages from the home page of Wi-Fi TV Inc. or go directly to those individual pages. There are approximately 50 different Country pages and 15 Category pages. Each of these pages has updated news headlines that relate to the topic or country (clicking on the headline brings up the full text of the news story) and targeted advertising in the form of banner ads and informational videos.

Ic) Wi-FiTVEspanol Spanish language Category with Direct URL Access

The Spanish/Espanol category of Wi-Fi TV Inc. consists of over 25 live Spanish language TV channels and Latin American themed news stories in Spanish on topics such as general news, entertainment, automobiles, TV, music, and movies. It also features advertising themed to the Hispanic marketplace. As with the other Wi-Fi TV categories, it is available for viewing in the United States, Latin America and elsewhere. Unique to this category are several URLs that point directly to the Spanish/Espanol category page. These include: www.Wi-FiTVEspanol . com, www . Wi-FiEspanol . com, and
www . Wi-FiTVSpanish . com.

Id) Wi-FiTV Internet Exclusive Live Events

The first two Wi-Fi TV Internet exclusive live events were in September and October 2005 and have been archived on the web site for on-demand viewing. On September 29 and September 30, Wi-Fi TV Inc. presented the press conference and weigh-in for the Tarver-Jones 3 prize fight from Florida. On October 10, Wi-Fi TV Inc. presented a live webcam of the Chicago Marathon.

Ie) Wi-FiTV Branded Virtual Phone Dialer

Wi-Fi TV users can download the Wi-Fi TV branded virtual phone dialer and make unlimited free phone calls to phones, cellular phones and PCs in the United States and to PCs worldwide. In select foreign countries, users can download the Wi-Fi TV dialer and make unlimited local and long distance (domestic) phone calls. Users of the dialer can also access ads and discount coupons for local services, such as pizza delivery. Upon downloading the dialer, users enter their local zip code (in the Untied States) which allows the generation of local advertising.

If) Wi-Fi TV Dynamic Ad Server And Third Party Verified User Statistics

Wi-Fi TV has deployed a dynamic ad server which enables the Company to place advertising within specific areas on its web site, and to rotate and prioritize the ad placement based on results generated and to track all activity pertaining to the ads. Wi-Fi TV has also implemented third-party tracking software called Hitbox to independently generate and verify its web traffic.

Ig) Wi-Fi TV User Friendly Web Design

Wi-Fi TV has implemented its second generation proprietary web design with several features to make viewing and using the web site user friendly. Highlights of the design include the One-Page, One-Click ™ access to content, the Wi-Fi TV Virtual TV Screen which has been optimized to play multiple types of video streams and has a Full-Screen button, the Country and Category selection features, and the placement of themed news headlines and ads around the Wi-Fi TV Virtual TV Screen.

PART TWO OF ROLLOUT

The second stage of the rollout is called II- Wi-Fi TV Subscriber / Commerce Launch, and it began on March 1, 2006. The following items are completed:

IIa) Wi-Fi TV Paid Subscriptions

Wi-Fi TV now offers the following options:

TRY IT -- Wi-Fi TV Inc. offers free access to its content links to approximately five minutes per visit. This allows potential users time to familiarize themselves with the content offerings and the quality of delivery to their Internet enabled device. After the preview period, they are prompted that further viewing requires being a registered user.

TRIAL IT -- There is a free, no-risk 14 day trial period. To access this trial, users must provide a valid email address and valid payment information to PayPal, Wi-Fi TV Inc.’s secure third party payment processor. They may cancel their subscription at any time during the 14 day trial and they will owe nothing. If they don’t cancel, on the 15th day of service or thereafter they will be charged $29.99 for one year of service. If they don’t cancel their subscription during the following 12 month period, their subscription will be automatically renewed for an additional year at $29.99 on the conclusion of their first 13 months of service.

JOIN IT – Viewers may join Wi-Fi TV in their choice of two payment options: $3.99 per month recurring billing or $24.95 per year recurring billing. Wi-Fi TV Inc. subscribers have unlimited access to all basic Wi-Fi TV channels (over 200) and other features such as chat. Premium channels and on-demand content may require additional fees. Subscribers will be given discounts on any service that require additional fees.



IIb) Wi-Fi TV Paid Advertisements

Wi-Fi TV Inc. will have two forms of advertisement opportunities:

IIb1) Banner ads generated by Google. Wi-Fi TV Inc. receives targeted banner ads from Google and is paid for these ads pursuant to the Google ad placement agreement.

IIb2) Banner ads and video ads sold directly by Wi-Fi TV Inc. Wi-Fi TV will directly sell banner advertisements to companies and will charge the advertiser either a pay-per-click fee (price has not yet been determined) or percentage of sales generated fee (up to 50% of the retail price of the item). The sales generated are verified through code which we place on the advertiser’s web site.

The following items on Part Two of the rollout are currently in development:

IIc) My Wi-Fi TV Videos. This is a premium cost system where Wi-Fi TV members can post videos for other Wi-Fi TV members to view. Wi-Fi TV members can select videos by various different search criteria.

IId) Wi-Fi TV Shopping Cart

Wi-Fi TV will maintain its own shopping cart and will open commerce sites on eBay and Yahoo that tie-in with the Wi-Fi TV web site. These carts will be used in conjunction with third party agreements to sell items pertaining to Country or Category topics on Wi-Fi TV.

IIe) Wi-Fi TV Affiliate / Traffic Generation Program

Wi-Fi TV Inc. will offer an affiliate program to other websites. Web sites will select from a series of authorized Wi-Fi TV banners on the Wi-Fi TV website and place these on their websites. Each lead generated by a banner ad that results in a one-year paid subscription to Wi-Fi TV Inc. will generate a $1.00 payment by Wi-Fi TV Inc. to the affiliate partner.

IIf) Wi-Fi TV Channel Partner Program / Premium Channels Program

Wi-Fi TV will implement its enhanced Channel Partner / Premium Channels Partner Program with two basic protocols:

1) Wi-Fi TV Inc. will consider carrying, at no charge to the content provider, links to any live TV channel that can provide a Windows Media or Real Player feed of its channel and sufficient bandwidth to reliably deliver its channel to Wi-Fi TV Inc users. The advantage to the channel is an expanded viewer base potentially resulting in a higher value for its paid advertising.

2) Wi-Fi TV Inc. will consider carrying, on a revenue sharing basis, links to Premium channels. The fee to be charged and the revenue split will be determined on a case by case basis. Wi-Fi TV Inc. will have the capability to carry any channel available
by satellite and to provide the necessary encoding and bandwidth to carry the channel.

IIg) Wi-Fi TV Original Channel Partnerships

Wi-Fi TV Inc. will launch the first of its Original Channel partnerships. These partnerships will include a long-term (five years or more) distribution agreement with a third party whereby Wi-Fi TV is the only place on the Internet that the partner TV station is available and the station content and features will be created with the advise and involvement of Wi-Fi TV Inc. The business terms of each partnership will be determined on a case-by-case basis.

IIh) Wi-Fi TV Content Creation And Posting By The Public

Wi-Fi TV Inc. will make available its CinemaWEAR ™ encoding tools to the public and will create a pathway and method by which the public can post content on Wi-Fi TV Inc. The cost, if any, of using the CinemaWEAR ™ tools and posting the content has yet to be determined.

IIi) Wi-Fi TV 3rd Generation Web Design with Interactive Member Chat

Wi-Fi TV inc. will implement the 3rd generation of its Wi-Fi TV web design. New features will include a larger Wi-Fi TV Virtual Player, more ad space on each page, multiple forms of interactive chat and posting for registered users, a channel of the week feature on the home page, and Wi-Fi TV Live Now (for Wi-Fi TV live events, conferences and bulletins) feature on the home page, as well as integration of the Wi-Fi TV shopping cart.

IIj) Wi-Fi TV for iPods, Cellular Phones and Other Devices

Wi-Fi TV will implement making select content available for Apple iPod devices, video enabled cellular phones, and other Internet enabled devices.

IIk) 2006 Wi-Fi TV Advertising and Marketing Campaign

Wi-Fi TV Inc. will launch a consumer awareness campaign in the first quarter of 2006 that will include TV, print and Internet based advertisements intended to result in paid subscribers to Wi-Fi TV Inc. Wi-Fi TV Inc. has not yet determined what the budget of the campaign will be.

PART THREE OF ROLLOUT

The third stage of the rollout is scheduled to begin on July 1, 2006 and conclude on October 1, 2006. It is called Wi-Fi TV / Wi-Fi Movies Global Initiative. It includes:

IIIa) Wi-Fi Movies, featuring hundreds of movies available for instant viewing and storage for later viewing. Premium prices to access each movie have not yet been announced; however Wi-Fi TV registered users will automatically be Wi-Fi Movie members and vice-versa. In addition, movie delivery will be optimized for devices ranging from iPods to TVs.

IIIb) Virtual Living Room. This allows Wi-Fi TV members to chat with each other live with video, audio and file sharing.
