The A/S cannot increase without a shareholder vote which requires a SEC Form PRE-14C. Once, the votes are calculated & approved a DEF 14C is filed with the SEC. Then it is official & an amendment is also required at the NY SOS of the A/S increase. The good news & very rare on the OTC is that there are zero Preferred shares issued which usually have special voting rights which automatically give them the majority vote to do whatever they want. So, if the company wants to raise the A/S or do a R/S they cannot without the Common Shareholders majority vote which is everyone on this board, Insiders, & anyone else who owns common shares. : )
