I Have 14 Million Shares,Why Should I Vote No?

Seems to me that if CCEL was in negotiations to merge w CBAI last Q and the talks failed (they are taking CBAI to court) then why would I want to vote the way CCEL says? CBAI is severly undervalued and shareholders would benifit more if CBAI stayed as its own company IMO
