The way I read it in the filing- the Series A1 can only be converted to common if the A/S is large enough to accommodate the conversion. With the A/S currently being only 250m - the preferred A1's are not much of an issue.

If the A/S gets increased. Then current MBHC Shareholders may share your A1 concerns- until then,It is odd that the only one conserned about these A1's doesn't even own MBHC and is not even interested in owning MBHC- LOL - fun times in subPENNYland.
