2)Has only $172k long term debt
3)Has no toxic death spiral financing agreement
4)Has only 168m float -277m O/S - 500m A/S
5)Has a share structure that hasn't changed in years
6)Has no 'going concern' statement in its financials
7)Generates $millions in quarterly revenue -with a $1mil a year positive cash flow
8)There are pending material events per last PR- new products and merger or acquisition
