Look up Parkin/Makarov's parent company, Monimplex (spelling?), and you'll understand how this is working.
As shareholders you hold a relatively small portion of the new company because Parkin/Makarov's main goal is to get these companies publicly traded on larger boards to raise more capital for them.
Our small portion of the entity reflects that the majority is still held by the Russians that Nord acquired from in the first place.
The majority holder rejected the buyout because he knew his oil is worth more, plain and simple. If he were just an average investor who got in when $2.17 pps looked bright, he would have taken the buyout.
