Did you read CFR 229.404, he was a related party in the reporting period, and continues to remain an affiliate for 90 days subsequent to his resignation. Therefore, both definitions and the cost of the transaction exceeding $120,000 defines it a related party transaction and should be disclosed pursuant to FASB 850
