I just posted this to Gamingo's SA discussion:


The only motion that is properly before the court is a request to form an equity committee. Such matters as your are discussing can only be presented to the court via committee RG. and I disagree with your approach to management. I believe the compensation plan (capped at $5 million for all employees) is an incentive plan based on performance that designed to replace stock options that have ALWAYS supplemented GTAT management pay. Without them they have a steep PAY CUT.


Rather that giving them pay supplement in stock (which would likely result in excess dilution and unjust enrichment when the company emerges from bankruptcy) a strategic cash bonus based on performance is an excellent plan.


I would like to see an equity committee formed - and I have not authorized you to represent my in any other way than to request the formation of an equity committee. Please confine your arguments before the court to that issue alone.
