It is FACT that stock has always been a part of GTAT senior management compensation. They have sold that stock in planned trades to augment their salary. It is because of this historical fact that the SEC will not be prosecuting management for the September 2014 sale of stock, and any legal action alleging they sold on insider knowledge will fail.

It is my BELIEF that that is how much of the stock now held by institutions has entered the market, as this would be good business.

It is FACT that without this additional compensation GTAT management is taking a large PAY CUT.

It is my BELIEF that the plan to replace this cut in pay with an INCENTIVE plan is a GOOD ONE.

1) It avoids dilution while the stock is at a low price.
2) It puts management in the position of having to work hard at rebuilding the company in order to regain higher salary levels.

I do not disagree with the fact that top management salaries in this country (and in many other countries) is disproportionately high. This is an issue that stockholders of all companies should approach separately. With GTAT it must be done after the company is back on track.

It is an issue of corporate culture that must be approached at the corporate governance level and one of the many things wrong with the rampant, exploitative capitalism that is harming the economy of this country. For this to change, institutional investment culture must also change and government must return to the concept of supporting personal civil rights and freedoms before those of mega corporations.
