Yes it is my understanding that if there are outside negotiations on going that may effect the Business plan moving forward the S-1 would not be made effect till they are finalized.

Don't forget Merck KGaA to Acquire Sigma-Aldrich and I believe that KBLB will be a big part of this Merger.
