I just emailed VOIS to ask why the toxic financing and got this answer:

Thank you for your input. We plan to have a PR out soon to provide an update and address these issues. We needed capital to finish the BCI device, with the goal of having sales and earnings kick in and eliminate/ reduce the need for additional capital. This should allow the ops to get traction.
