Unless you're a lawyer who can explain the fine points of law as to why the SPA, a written commercial agreement representing an investment of capital, is not a contract I will think based on the simple premise that it was a written legal agreement that it is...

IMHO the FDA attorney in that suit is going to sound like Lionel Hutz when he tries to explain how they are not in breach of contract.
