And this is even more simple. The company in discussion is Seaside 88. It is a Private equity firm NOT an Investment Banking Firm. They have been doing what they do for years and it is very well known practice to educated investors.

Let me show you since you seem to be confused.

Investment Banking and Private equity firms
ARE NOT THE SAME!!

Here are the facts:

Put plainly, investment banking is an advisory/capital raising service, while private equity is an investment business. An investment bank advises clients on transactions like mergers and acquisitions, restructuring, as well as facilitating capital-raising

THIS is what Seaside is and does.-

Private equity firms, on the other hand, are groups of investors that use collected pools of capital from wealthy individuals, pension funds, insurance companies, endowments, etc. to invest in businesses. Private equity funds make money from a) convincing capital holders to give them large pools of money and charging a % on these pools and b) generating returns on their investments. They are investors, not advisors

Also just in case you were also unaware, ANY PERSON with the minimum required amount to purchase restricted shares from any company IS ALLOWED and people who are ok with not being able to sell usually after a year or more is the SMARTEST way to invest but like i said risky because they cannot sell WHENEVER they want. For example, let's say someone had $50,000 they wanted to invest in a company. They could buy restricted shares at a discount but they cannot be sold before that restriction is lifted. Market manipulation occurs on the free trade market. You cannot manipulate restricted shares. Its' impossible just an FYI. Lastly Seaside 88 has no connection to anything remotely questionable in all their years of investment funding.
