So now the CEO is stating that he PR'ed an agreement with Trenton Coca-Cola based only on a telephone call? Nothing in writing? PR'ing a phone conversation?

Yes, the SEC (and the FBI) will have some questions for him (and his phone records, and anyone at Trenton Coca-Cola who is on those phone records).
