Why create a private shell to house this first? Imagine for a moment if the deal was done without the intermediary private company and you will see what I mean.

One would argue that while wsgi had been there from the beginning of the conceptualization of the bib and its sales process, and we had supported it through to baseline product designation and another NIE testing, all this other newly formed private DAC company did was act as a shell for further dilution and manipulation of the pieces.
