JMJ may have the funds for litigation but Minerco and most start-ups don't or would prefer not to commit resources needed.

As far as the Sec goes I don't know if this type of activity falls within their jurisdiction.

If shorting is not illegal in and of itself, it would appear to be a mere breach of contract. IMO
